Terms of Service for FlipLytics

Welcome to FlipLytics! These Terms of Service ("Terms") govern your access to and use of the FlipLytics platform, a trading name of Arbitrage Analytics Solutions Ltd, Company No. 15467789, registered at Marlborough House, 2 Charnwood Street, Derby, England, DE1 2GT ("we", "us", or "our").

By using FlipLytics, you agree to these Terms. If you do not agree, do not use the service.

1. About FlipLytics

FlipLytics is a web-based application designed to help eBay sellers manage their inventory, track profitability, and understand their business performance. You must connect your eBay account using eBay’s official API to use our service.

2. Licence to Use the Service

Subject to these Terms and payment of applicable subscription fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the FlipLytics platform for your own lawful internal business purposes. You may not sub-license, resell, or otherwise transfer your rights to the Service.

3. Eligibility and Account

• The Service is intended for users who are at least 18 years old. By using FlipLytics, you represent and warrant that you are 18 or older.
• You must create a FlipLytics account and authenticate your eBay account via OAuth.
• You are responsible for maintaining the security of your login credentials.
• You may not use temporary, disposable, or anonymised email addresses when registering.
• We may suspend or terminate your account for misuse, breach of these Terms, failure to pay, or any activity that negatively affects our reputation or operations.

4. Free Trial and Subscriptions

• We offer a 30-day free trial. After this period, you’ll be billed automatically unless you cancel.
• Subscriptions are billed monthly or annually and auto-renew by default.
• You can cancel anytime via your account dashboard.
• Refunds are not provided once the trial ends. Any refunds issued are at our sole discretion.
• By signing up, you agree that your access to the platform starts immediately, and you waive the 14-day cancellation right under the Consumer Contracts Regulations 2013.
• You agree not to initiate chargebacks under any circumstances.
• Each user is permitted only one trial period. We may revoke future trials if we detect abuse but may make exceptions for prior subscribers.

5. Fair Use and Prohibited Activity

You agree not to:

• Access or use the platform in any manner that could damage, disable, overburden, or impair it or interfere with other users.
• Use automated scripts, bots, scrapers, spiders, crawlers, or other data-mining tools to extract data from the Service.
• Attempt to gain unauthorised access to any part of the platform, its underlying systems, or other user accounts.
• Resell, reproduce, or redistribute any portion of the platform unless explicitly permitted in writing.

We reserve the right to apply rate limits, quotas, or restrict access at our sole discretion if we detect misuse or abusive activity.

6. Service Interruptions

We may, from time to time, suspend access to the Service for maintenance, updates, or upgrades. Additionally, service availability may be impacted by third-party issues such as eBay API downtime. You acknowledge that interruptions may occur, and you will not be entitled to any refunds, credits, or compensation for downtime.

7. Data Accuracy and Disclaimers

• FlipLytics does not guarantee the accuracy or completeness of the data retrieved from eBay or generated by our platform.
• You are solely responsible for the accuracy of any information you input into the platform.
• All reports, predictions, and calculations (including profit figures) are informational and do not constitute financial advice.
• You remain responsible for complying with your tax and VAT obligations.

8. Intellectual Property

All rights in the FlipLytics platform, including but not limited to the software, design, content, and branding, are owned by Arbitrage Analytics Solutions Ltd or its licensors. Your use of the platform does not grant you ownership of any intellectual property.

You agree not to:

• Modify, reproduce, distribute, or create derivative works based on the platform.
• Reverse engineer, disassemble, or attempt to derive source code.

9. Electronic Communications

By using the Service or contacting us electronically, you consent to receive communications from us electronically (including via email, the platform, or Discord), and agree that such communications satisfy any legal requirement that such communications be in writing.

10. Indemnification

You agree to indemnify and hold harmless Arbitrage Analytics Solutions Ltd, its directors, officers, employees, agents, and partners from and against any losses, damages, claims, liabilities, costs, or expenses (including legal fees) arising out of:

• Your use or misuse of the Service,
• Your breach of these Terms,
• Any content or data you upload or input,
• Or your violation of any applicable law or third-party rights.

11. Monitoring and Enforcement

We reserve the right to investigate violations of these Terms, restrict access, suspend or terminate accounts, or remove content if we believe a breach has occurred or is likely to occur. We may take any action we deem appropriate, including legal action.

12. Limitation of Liability

To the fullest extent permitted under UK law:

• We will not be liable for any indirect, incidental, special, or consequential damages.
• Our total liability under these Terms will not exceed the amount you paid to us in the 12 months prior to the claim.

13. Termination

We reserve the right to suspend or terminate your account at any time for breach of these Terms, failure to pay, or any activity we believe is harmful to us or other users.

We may update these Terms from time to time. We’ll notify you of any material changes by email or via the platform. Your continued use of FlipLytics means you accept the updated Terms.
